Provisions of a notice dated 14 March 1997 issued
pursuant to section 55(6) of the Railways Act 1993 on behalf of
the Director of Passenger Rail Franchising to Stagecoach Holdings
PLC in respect of the franchise agreement dated 18 December 1995
and made between the Director of Passenger Rail Franchising and
Stagecoach Holdings PLC
Pursuant to Section 55(6) of the Railways Act
1993 (the "Act") I am recording a contravention of the
terms of the Franchise Agreement by the Franchise Operator as
set out in the schedule annexed hereto.
The Director of Passenger Rail Franchising (the
"Franchising Director") considers that the Franchise
Operator has taken such steps as are appropriate for it to take
for the purpose of securing or facilitating compliance with the
condition(s).
Please also note that a copy of this letter
shall be placed on the Franchising Director's Register as required
by Section 73(2)(e) of the Act. The Franchising Director also
considers that no further publication of the contravention is
necessary.

1.1 Words and expressions defined in the letter
to which this is a Schedule shall, unless expressly stated otherwise,
bear the same meaning herein.
1.2 Words and expressions defined in the Franchise
Agreement shall, unless expressly stated otherwise, bear the same
meaning herein.
1.3 Nature of the contravention of the Franchise
Agreement
The Franchise Operator breached the Franchise
Plan, 'Document D' of the Franchise Agreement, with non-compliance
of the following clauses:
2.2.5 SWT did not provide an "information
point" at all of its stations within one year of Franchise
Commencement;
2.4.1 SWT did not develop an enhanced Telephone
Enquiry Bureau which was to also provide local bus service information
by anniversary of Franchise Commencement;
2.4.2 SWT did not provide SWT rail information
at Stagecoach bus information offices within one year of Franchise
Commencement;
2.4.5 SWT did not provide in Stagecoach bus
timetables SWT rail information.
